New terms and conditions are reflected below, but you may still refer to the current terms & conditions [HERE until April 29, 2021](https://www.maya.ph/terms-and-conditions). # PAYMAYA INVEST TERMS AND CONDITIONS Last Update: March 28, 2022 ## GENERAL TERMS By virtue of the Virtual Assets Service Provider license (VASP) granted by the Banko Sentral ng Pilipinas (BSP) to PayMaya Philippines Inc. (PayMaya), PayMaya offers its platform services to its Account Holders to be able to buy or sell Virtual Assets, using their PayMaya Account. PayMaya may use third party provider/s that will be integrated to the PayMaya platform to offer these Virtual Assets. The Platform shall present these offered Virtual Assets and the Account Holders may perform Transactions on the Platform under the following terms and conditions: ## 1. Before the Account Holder uses this Platform, the Account Holder is expected to learn and/or do his/her own research related to the Virtual Assets asset class. The Account Holder may access general learning materials through the Learning Page provided in this Platform or other learning tools found outside the PayMaya App that would help the Account Holder to decide on his/her transactions. ## 2. By using this Platform and performing transactions herein, the Account Holder is understood to have accepted the terms and conditions, including the risks involved in buying and/or selling Virtual Assets. ## 3. Use of this Platform shall also mean that the Account Holder allows PayMaya to: a. transfer funds to and from his/her account as instructed by the Account Holder or perform actions as accepted by the Account Holder in this terms and conditions; b. perform customer due diligence as required under the Anti-Money Laundering Act (AMLA); c. collect and submit his/her personal data, transactional data, and/or device data to the third party provider/s in order to execute its order/s or transaction; or d. submit any information that a regulatory body, particularly the AMLC, requires for suspicious transactions or covered transactions in order to comply with the AML, and for fraud prevention purposes. It is understood that the Account Holder must be in an upgraded status before performing any transactions in this Platform. ## 4. The Platform The Platform shall contain the information of the Virtual Assets that are available for the Account Holder to purchase. The Account Holder may perform the following activities in the Platform: a. Buy Virtual Assets b. Sell Virtual Assets c. Transfer funds to and from Account Holder’s e-wallet, for exit of proceeds of sale or purchase respectively d. View General Information regarding topics including but not limited to Virtual Assets, Cryptocurrencies, How-To’s etc. e. View Account Holder’s purchased Virtual Assets, transaction history, and its current valuation (Portfolio Page) ## 5. Buy Virtual Assets a. If the Account Holder intends to purchase Virtual Assets available in the Platform, he/she shall click the Buy button and the App shall proceed to the Buy Page. b. In the case where the Account Holder clicks on Buy Page straight on the Platform home page, he/she may choose the Virtual Asset he/she desires to purchase prior to being lead to the Buy Page. On the Buy Page, Account Holder may enter his/her desired Virtual Asset volume or amount offer. c. The Account Holder shall have 30 seconds in the Confirm Purchase sub-page to decide on whether or not to buy, otherwise, the Amount Offer shall be released. Once the Account Holder slides to transfer to confirm the payment, the transaction cannot be reversed and is considered final. The purchased Virtual Asset shall be reflected in the Account Holder’s portfolio in real time. d. The Account Holder understands that in using this Platform, there is a possibility that the Total Amount (as stated in the Platform) may be depleted or even be lost, depending on the actual published price of the Virtual Asset. This means that Virtual Assets change in value over time and valuation shall depend on the published price and not on the purchase price of the Account Holder. Published prices of the Virtual Assets are dictated by the third party provider who offers the Virtual Asset. e. Any decision regarding selecting, timing and acceptance of valuation shall be the decision of the Account Holder. The Account Holder shall be responsible for all of his/her purchase or disposition of Virtual Assets he/she owns in the Platform. Account Holder represents and warrants that he/she has sufficient knowledge, experience, understanding and information to make such evaluations and have taken such professional advice as he/she deems necessary and appropriate. PayMaya does not guarantee nor warrant favorable results in any of the transactions of the Account Holder. ## 6. Sell Virtual Assets a. The Account Holder may only buy/sell his/her owned Virtual Assets in exchange for Philippine Peso (PHP) through the Platform b. If the Account Holder intends to sell Virtual Assets currently owned in the Platform, he/she shall click the Sell button and the App shall proceed to the Sell Page. c. Prior to the Sell Page, the Account Holder may choose the Virtual Asset he/she desires to sell. On the Sell Page, Account Holder may enter his/her desired Virtual Asset volume or amount offer. d. The Account Holder shall have 30 seconds in the Confirm Sale sub-page to decide on whether or not to sell, otherwise, the Amount Offer shall be released. Once the Account Holder slides to transfer the payment, the transaction cannot be reversed and is considered final. The PHP proceeds from the sale of the Virtual Asset shall be reflected in the Account Holder’s PayMaya wallet in real time or up to two (2) business days later. e. The Account Holder understands that in using this Platform, there is a possibility that the Total Amount (as stated in the Platform) may be depleted or even be lost, depending on the actual published price of the Virtual Asset. This means that Virtual Assets change in value over time and valuation shall depend on the published price and not on the purchase price of the Account Holder. Published prices of the Virtual Assets are dictated by the third party provider who offers the Virtual Asset. f. Any decision regarding selecting, timing and acceptance of valuation shall be the decision of the Account Holder. The Account Holder shall be responsible for all of his/her purchase or disposition of Virtual Assets he/she owns in the Platform. Account Holder represents and warrants that he/she has sufficient knowledge, experience, understanding and information to make such evaluations and have taken such professional advice as he/she deems necessary and appropriate. PayMaya does not guarantee nor warrant favorable results in any of the transactions of the Account Holder. ## 7. Fees PayMaya may charge fees for each Transaction. PayMaya will charge a margin between the market price we receive from our Third Party Provider and the exchange rate between PHP and the Digital Asset displayed to the Account Holder. This margin considers costs rendered to provide this Service for each Transaction. Fees may be subject to the discretion of PayMaya, in accordance with the applicable laws, rules, and regulations. After each Transaction is completed, the Account Holder will be presented with a transaction summary and a reference ID for record keeping purposes. Please note that there may be tax consequences from any gain or loss incurred in the buy and/or sell of Digital Assets. PayMaya shall not be responsible for the withholding and remittance of applicable taxes to the Bureau of Internal Revenue on the income incurred by the Account Holder. If required by law, rule or regulation, PayMaya shall have the right to ask for a copy from the Account Holder which shall be submitted within the required period or within reasonable time. PayMaya shall have the right to suspend Transactions if the Account Holder does not comply with such requirement. ## 8. Transaction Limits The Account Holder understands that his/her account in the e-wallet page and his/her account in the Platform shall have one transaction limit. The Account Holder may increase his/her limits by adhering to PayMaya’s internal policies, which may include submission of corresponding KYC requirements, and PayMaya’s verification of such documents. PayMaya reserves the right to increase or decrease the Account Holder’s transaction limits as it deems necessary or appropriate. ## 9. Other Features ### Learning Page The Learning Page is a page accessible in the Platform which may be accessed by the Account Holder to familiarize himself/herself and learn from materials regarding cryptocurrencies. PayMaya will provide both proprietary and general content pulled from Third Party Sources. Please note that the information shared by PayMaya is meant to be used as a means of reference and in no way recommends a particular digital asset or investment movement. ### Crypto Alert The Account Holder can set and define certain Virtual Asset activity related alerts delivered via in-app push, email, and/or SMS. The Account holder can set alerts concerning a particular digital asset on Virtual Asset market. ### Transaction History The Account Holder can access his/her transaction history within the Platform and can recall transaction up to three (3) months prior. Account Holder can view the details of each transaction, similar to the information shared on the transaction receipts. The Transaction History is exportable to a report (i.e. CSV file, or other format) that may be downloaded and accessed by the Account Holder. ### Portfolio Page The Portfolio page is the section of the Platform where the Account Holder may view the breakdown of his/her owned Digital Assets and other related transactions (e.g. sell transactions). The Account holder may view his/her aggregate value of Digital Assets owned in PHP value, a chart showing the allocation of different owned Digital Assets, and the list of Digital Assets owned by the Account Holder. ## 10. Acceptable Use Policy PayMaya is the owner of the App or is licensed to use the platform, trademarks, trade name and other intellectual property being used in the Platform. Any party or person cannot use the said properties without the prior written consent of the owners thereof. Account Holder represents that he/she is a natural person who owns and controls the money used in the Transactions. The Account Holder cannot transact as an agent or a broker nor can he/she offer the buying or selling of the Virtual Assets in the PayMaya App to other persons or third parties and transact under his/her name. Violation of this provision shall allow PayMaya to suspend his/her account or terminate the account of the Account Holder in the Platform or with PayMaya. The Account Holder warrants that he/she shall only use the Platform as intended and allowed by PayMaya and its VASP license. The Account Holder shall not use the Platform nor perform activities that would result to illegal acts or abuse of the Platform or App. Illegal acts shall include violation of the Anti-Money Laundering Act and other laws, rules and regulations. Abusive acts shall include, but is not limited to abuse of promotions, marketing activities and other benefits given to the Account Holder which shall give PayMaya the right to claw back any monetary benefits from the e-wallet of the Account Holder or reverse the benefit given. The Account Holder shall be held liable for these acts and has the obligation to compensate PayMaya for any damages suffered because of these acts, regardless of whether the Account Holder profited or not The Account Holder shall not share, voluntarily or involuntarily his/her username and/or password or one-time pin (OTP) to any person or party regardless of any reason or intention. If there are transactions performed using the elected username and password of the Account Holder, whether or not he/she is really the Account Holder who used such, it is conclusive that he/she is the Account Holder who performed such transaction which shall be final and irreversible. Any damages suffered from this act shall solely be borne by the Account Holder. The Account Holder shall not decompile or disassemble, reverse engineer, or otherwise attempt to discover any source code contained in the Service or Platform. Without limiting the foregoing, the Account Holder agrees not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, remove, alter, sub-license, private label, create derivative works, or grant security interests in, any aspect of the Service or any intellectual property therein or in the Platform. PayMaya neither warrants nor represents that the Account Holder’s usage of any materials displayed on this website will not infringe the rights of third parties. By using the services, the Account Holder represents that he/she is a resident of the Philippines. Access to the services from jurisdictions where their content or function may be illegal is prohibited. The Account Holder acknowledges that he/she is aware of the rules of the Philippines and will not use the services if such use is prohibited or otherwise violates Philippine laws, and that he/she is solely responsible for determining compliance with all applicable local laws in his/her jurisdiction. PayMaya reserves the right to suspend or terminate the Account Holder’s access to the services without prior notice if PayMaya determines, in its judgment, that the Account Holder resides in a jurisdiction that prohibits the use of the services ## 11. Indemnification and Limitation of Liability a. The Account Holder agrees to indemnify, defend and hold harmless PayMaya, its subsidiaries and affiliates, and their directors, officers, employees and agents, from and against any loss, damage, liability, costs and expenses, including reasonable attorney’s fees (collectively, “Losses’), arising out of or based on: 1) breach of, or failure to perform, any obligation of Account Holder contained in this Agreement; 2) the gross negligence or willful misconduct of the Account Holder; or 3) errors incurred by or judgments/decisions made by the Account Holder. b. The Account Holder may be penalized by PayMaya equivalent to the amount of damage or cost incurred or penalty paid arising from the Account Holder’s action or from failure to comply with any provision of this Terms and Conditions as well as other agreements with PayMaya. c. PayMaya agrees to indemnify, defend and hold harmless the Account Holder, from and against any losses arising out of or based on (a) breach of, or failure to perform, any obligation of PayMaya contained in this terms and conditions, or (b) the gross negligence or willful misconduct of PayMaya. d. PayMaya does not guarantee that this Platform shall function 100% at a time, it does not also guarantee that it will function the way the Account Holder intends it to function. In this case, PayMaya shall not be liable for any losses that the Account Holder may suffer, including losses during the downtimes, both scheduled and unscheduled. e. In no event shall PayMaya and the Account Holder be liable, in the absence of gross negligence and willful misconduct, for any indirect, special, incidental or consequential damages under this Terms and Conditions, including, without limitation, loss of profits, revenue, data or use, even if PayMaya and/or the Account Holder have been advised of the possibility of such damages. f. PayMaya’s liability for damages under this Agreement shall not exceed the amount of the total fees paid by the Account Holder to PayMaya during the last twelve (12) months from the occurrence of the event that caused the damage. ## 12. Consumer Protection If the complaint of the Account Holder stems from the e-wallet transaction and/or use of the Platform, then communication may be sent to PayMaya at [support@paymaya.com](mailto:support@paymaya.com) or you may contact (+632) 8845-77-88 (Toll Free: 1800-1084-57788) or *788 using your Smart mobile phone. ## 13. Termination Services as provided for in this Platform may cease in case: a. PayMaya’s license is revoked; b. PayMaya terminates its relationship with providers of the Virtual Assets; or c. PayMaya chooses to cease operation of the Platform In this case, PayMaya shall provide for a reasonable transition period where the Account Holder may choose to transfer his/her Virtual Asset/s to another platform provider or sell his/her Virtual Asset/s in consideration of money. In case the Account Holder fails to exit his/her Virtual Asset/s even after several notices sent, PayMaya shall be authorized to sell the Virtual Asset/s at the current price and credit the proceeds to the Account Holder’s e-wallet, afterwhich, the rules on dormant account shall apply. ## 14. Notices The Account Holder may be sent notices through SMS, email address or registered mail at the option of PayMaya. Notice shall be considered received once the SMS or email is sent or upon receipt of the proof of service of the registered mail. Provisions found under the PayMaya Terms and Conditions, Privacy Terms and Data Privacy, applicable to this Platform shall form part of this Crypto Currency Terms and Conditions. ## Definition of Terms: Cryptocurrencies – Typically defined as decentralized digital money native to the internet. It is a type of virtual currency that uses cryptography. Virtual Currency – A type of digital currency created by a community of online users. Typically stored in electronic wallets (e-wallets), and generally transacted online. Virtual currencies are an example of Virtual Assets. Cryptography – A method of storing and transmitting data in unreadable form so that only the intended receivers can read and process. Transaction – Refers to buy and/or sell cryptocurrency actions on the platform Virtual Assets – referring to BSP Circular No. 1108, “Virtual asset refers to any type of digital unit that can be digitally traded, or transferred, and can be used for payment or investment purposes. It can be defined as a "property", "proceeds", "funds", "funds or other assets", and other "corresponding value". It is used as a medium of exchange or a form of digitally stored value created by agreement within the community of VA users. VAs shall be broadly construed to include digital units of exchange that (i) have a centralized repository or administrator; (ii) are decentralized and have no centralized repository or administrator; or (iii) may be created or obtained by computing or manufacturing effort. VAs are not issued nor guaranteed by any jurisdiction and do not have Iegal tender status. For purposes of these guidelines, digital units of exchange that is used for (i) the payment of goods and services soIely provided by its issuer or a limited set of merchants specified by its issuer (e.g., gift checks) ; or (ii) the payment of virtual goods and services within an online game (e.g., gaming tokens) shall not be considered as VAs. Also, virtual currencies as previously defined in Bangko Sentral Circular No. 944 (Guidelines for Virtual Currency Exchanges) shall now be referred to as VAs.” ## TERMS OF SERVICE (Digital) ## DEFINITION OF TERMS  1. “Terms” used in this document pertains to the whole of this “Terms and Conditions of Use” including its subsequent amendments or revisions. 2. “Services” means both mobile applications, channels and services, including all associated platforms linked therefrom, PayMaya, server and database, as well as all material, information, content, application and functionality available in and through them. 3. “We” refers to the vendors and providers of the Services, including but not limited to PayMaya, its directors, officers, employees, agents, and/or assignees and successors, as well as the owners/operators, affiliates, and/or licensors of the Services. 4. “You” refers to you as a user of the Services, and includes your agents, assignees, or successors, as well as your parents or legal guardians, as the case may be, for those below the age of majority. 5. “User content” refers to any content generated or uploaded by a user of the Services, which includes photographs, videos, music or other multimedia files, documents, information, or anything else that can be stored electronically. 6. “PayMaya” refers to PayMaya Philippines, Inc. ## USER REPRESENTATION AND WARRANTIES 1. By visiting and/or using the Services, you signify your agreement to these Terms and you further agree, affirm and warrant that there is and there shall be no agency, partnership, joint venture, employer-employee, licensor-licensee or franchisor-franchisee relationship between PayMaya and you. 2. You must be more than 18 years of age, or that you possess legal parental or guardian consent, and that you are fully able and competent to legally bind yourself to and abide by all of the terms, conditions, obligations, declarations, affirmations, representations, and warranties set forth in these Terms. 3. By visiting and/or using the Services, you declare, represent and warrant that you understand that when using it, you will be exposed to content, material or information from a variety of sources, and that PayMaya is not responsible for the accuracy, usefulness, safety, completeness, or intellectual property rights of or relating to such content, material or information, user generated, submitted or otherwise, including those content, material or information that may be linked to it. 4. You further understand and acknowledge PayMaya may have or may develop and implement additional features and tie-ups with other entities. By virtue of such, you may be exposed to content that may infringe on your intellectual property rights or that of your principal; or content that may be violative of your privacy, and/or publicity rights; or content that is knowingly false and/or defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, indecent, pornographic, profane, threatening, racist, gruesome, objectionable, offensive to public morals, invasive of another’s privacy, or otherwise violative of any rule, regulation, or law; or content that contains any viruses, Trojan horses, worms, time bombs, bots, any malware, or any computer program, code, or routine that may or is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information and that these you undertake at your own risk, and you hereby agree that PayMaya shall not be responsible, liable, or accountable for any of the foregoing. You also agree to indemnify and hold PayMaya harmless to the fullest extent allowed by law regarding all matters related to or arising out of your use of the Services. 5. By visiting and/or using the Services, you declare, undertake and affirm that you take sole responsibility for whatever consequences that may arise out of your visit and/or use of the Services. You understand that PayMaya shall not be liable for, and you hereby hold PayMaya free from, any direct, incidental, special, consequential, indirect, or punitive damages whatsoever resulting from your use of, or your inability to use, the Services. On the other hand, you declare, undertake and affirm that you shall indemnify PayMaya for any direct, incidental, special, consequential, indirect, or punitive damages whatsoever resulting from your use of the Services. You further agree, undertake, and commit to indemnify PayMaya for any breach of its proprietary and other rights, including breach of these Terms, which you may commit in the course of or arising out of your use of the Services. 6.You further declare, represent and warrant that you are aware that any content, material or information presented to you as part of the Services, including but not limited to advertisements and sponsored content, material or information within the Services may be protected by intellectual property rights which are owned by the respective sponsors, advertisers, or other persons or companies on their behalf. You agree that such advertisements and sponsored content, material or information may be placed on the Services and/or coupled to your User Content without prior notice and without need of explicit consent from you anymore as you now give such consent. You hereby declare, acknowledge, and affirm personal and sole commitment and obligation to respect uphold and honor any intellectual property rights which may cover such any content, material or information presented to you as part of the Services, including but not limited to advertisements and sponsored content, material or information within the Services. 7. You acknowledge that any material, information or content which you create, upload, transmit, or display while using the Services may become publicly available, whether or not intended by you or by PayMaya for such material, information or content to be made publicly available. You further acknowledge, affirm and take sole responsibility for any consequences arising out of the use, authorized, lawful or otherwise, of any material, information or content which you create, upload, transmit or display using the Services. By visiting and/or using the Services, you hereby declare, acknowledge, and affirm to hold PayMaya free from any liability by law or by equity arising therefrom, including the unauthorized or unlawful use thereof by a third party, regardless of negligence, lack of foresight, or lack of skill on the part of PayMaya which may be directly or indirectly contributory to such unauthorized or unlawful use. 8. You also acknowledge that you are free to opt out of the Services by voluntarily desisting from further use of the Services or by serving a notice of termination of use to PayMaya and closing your account. Closure of an account with the Services does not nullify, void, cancel, or otherwise adversely affect any and/or all of the legal obligations and liabilities you may have incurred or may still incur relative to your use of the Services, as such termination of use of the Services and/or closure of an account with the Services does not nullify, void, cancel, or otherwise adversely affect any and/or all of the rights which may have accrued in favor of PayMaya including the rights, consents, permissions and licenses to use any and/or all User Content that you have created, uploaded, transmitted, or displayed using the Services. ## ACCEPTABLE USE POLICY ## YOU AND THE SERVICES  1. You agree not to incorporate any word in your name, message identification, or custom user title that is defamatory, obscene or profane, or which violates any trademark, service mark, or other intellectual property rights of any third party, including that of PayMaya You likewise agree not to use any trademark, trade name, service mark, or logo in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logo. 2. You agree not to alter, modify, or cause the alteration or modification, of the Services, without prior written consent from PayMaya You further agree not to use the Services for any commercial use, without prior written authority from PayMaya 3. You agree not to use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any part of the Services, or in any way reproduce or circumvent its navigational structure or presentation, as well as to obtain or attempt to obtain any material, document or information through any means not purposely made available through the Services. 4. You agree not to gain or attempt to gain unauthorized access to any part or feature of the Services or to any other system or network connected to the Services. You agree to use or access the Services for your information and personal use solely as intended through the provided functionality of the Services. You agree not to copy or download any material or content from or through the Services unless such copying or downloading is explicitly allowed by a visible manifestation thereof such as a “download” button or a similar link ostensibly displayed. You further agree not to engage or attempt to engage in the use, copying, transmission, broadcast, display, distribution or sale of any of the contents, material or information available on or through the Services, including user comments and the like, other than as expressly permitted herein, or as explicitly indicated in the Services, including use thereof for commercial purposes. 8. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Services or its systems or networks, or any systems or networks connected to the Services. 9. You agree to and hereby undertake the sole responsibility and hold PayMaya free of liability to you or to any third party, for any User Content that you create, upload, transmit, or display while using the Services. You agree and hereby undertake sole responsibility for the consequences of your actions and interactions using the Services, and hereby stipulate admission of liability to PayMaya for whatever loss or damage PayMaya may suffer as a consequence of your use or misuse of the Services. 2. You agree not to share, create, upload, transmit or display using the Services any material, information, or User Content which is or may be covered by copyright, patent, trade secret, trademark, trade name, service mark or any property rights, including privacy and/or publicity rights, unless you have the necessary licenses, rights, consents, and permissions to use and to authorize PayMaya to use any and/or all User Content that you create, upload, transmit, or display using the Services. 3. You agree not to use fictitious name and concealing true name for the purpose of concealing crime, evading the execution of a judgment or causing damage. 4. You agree not to share, create, upload, transmit or display using the Services any material, information, or User Content which: infringes on the intellectual property, privacy, and/or publicity rights of any third party; is knowingly false and/or defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, indecent, pornographic, profane, threatening, racist, gruesome, offensive to public morals, invasive of another’s privacy, or otherwise violative of any rule, regulation, or law; contains any viruses, Trojan horses, worms, time bombs, bots, any malware, or any computer program, code, or routine that may or is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; and/or that which promotes or abets piracy. You further agree not to engage in pyramid, ponzi or similar schemes or other damaging schemes in the future; not to start or forward chain letters; and not to conduct or aid in the conduct of surveys, contests, petitions, and the like, using the Services, unless the Services has been specifically designed and explicitly made available for such purpose. 5. You represent, warrant and affirm that you own or that you have the necessary licenses, rights, consents, and permissions to use and to authorize PayMaya to use, reproduce, adapt, modify, translate, publish, publicly perform, publicly display, distribute, or transmit over public networks and in various media any and/or all User Content that you create, upload, transmit, or display using the Services, as you hereby authorize and grant PayMaya perpetual, irrevocable, worldwide, royalty-free and non-exclusive right, license, consent and permission to use, reproduce, adapt, modify, translate, publish, publicly perform, publicly display, distribute, or transmit over public networks and in various media any and/or all User Content which you may create, upload, transmit, or display using the Services, in a manner PayMaya may deem fit and necessary, including but not limited to making such User Content available to a third party in compliance with a requirement of law, a rule or regulation, or making such User Content available to any third party for its use, reproduction, adaptation, modification, translation, publication, public performance, public display, distribution or transmission. You likewise hereby irrevocably agree, affirm and warrant to hold PayMaya free from any liability, both under equity and the law, arising or that may arise out of its use of your User Content or the use of your User Content by a third party to which PayMaya made available your User Content. 6. Unless otherwise agreed in writing with PayMaya you hereby agree to and acknowledge sole responsibility for protecting and enforcing any proprietary rights you or your principal may have on any User Content made available through the Services. You further acknowledge, agree, and admit that PayMaya is not responsible for the actions of other users or any third party and hereby free PayMaya and waive in its favor any or whatever right or claim you or your principal may have against PayMaya relative to any User Content which you or a third party may create, upload, transmit or display using the Services. 7. You agree to store your password on the device and our servers in an encrypted form. This form of encryption disguises your password on the server, but still allows us to authenticate you when you sign into the Services. 8. You agree that by supplying its personal information for the purpose of availing yourself of the Service, you expressly consent to the processing of its supplied personal information for the purpose of creating and maintaining your account. Such consent includes authorization for PayMaya to disclose, exchange, and release the said information to its associates, affiliates, subsidiaries, officers, employees, agents, lawyers and other consultants, pre-paid/debit/credit bureaus or any such persons as PayMaya deems necessary, or as required by law, rule or regulation. ## THIRD PARTY CONTENT & SERVICES  1. The availability of such Third-Party services does not imply any endorsement by us of such Third-Party services or the content, products, or services available therefrom. 2. You may not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the application and the services or in any Third-Party Services. 3. PayMaya makes no representation or warranties whatsoever about any service, content and / or any other resources provided by the Third Party. ## RESERVED RIGHTS 1. You understand and agree that PayMaya reserves the right, at its sole discretion but without obligation, to deny access to and / or discontinue the Services or any component thereof to anyone at any time, temporarily or permanently, without giving any reason and/or prior notice to you. You hereby irrevocably agree, affirm and warrant to hold PayMaya free from any liability, both under equity and the law, arising or that may arise out of any such denial of access to or the discontinuance of the Services. 2. You understand and agree that PayMaya reserves the right, at its sole discretion but without obligation, to collect, screen, review, flag, filter, modify, block, refuse or remove any and/or all information provided by any user, explicitly or implicitly to and through the Services, including but not limited to hardware information, IP address, browser-type related information, cookies and the like. You understand and agree that PayMaya reserves the right, at its sole discretion but without obligation, to enhance, improve, develop and introduce new features and functionalities to the Services at any time and without prior notice. You understand and agree that PayMaya reserves the right, at its sole discretion, to verify, check, cross-refer, validate, and ascertain the veracity and truthfulness of all information supplied by you by acquiring, accessing, retrieving, or otherwise acquiring similar or additional information supplied by you to other third-party service providers, including, but not limited to telecommunications providers, etc. You hereby expressly, unequivocally, and voluntarily allow PayMaya to request for and secure such information, and expressly, unequivocally, and voluntarily instruct such third-party providers to: (a) receive and process PayMaya Philippine’s request; (b) favorably act at all times on any such request by producing the information requested; and (c) when requested by PayMaya provide the latter with certified digital or printed copies of the said information. 5. You understand and agree that PayMaya reserves the right, at its sole discretion but without obligation, to send you or cause to send you service updates and/or messages, including SMS, notifications, email and/or any data message transmission, informing you of enhancements, improvements, developments, features, functionalities, products, promotions, offers, advertisement and/or any other information relative to the Services and PayMaya. PayMaya makes no warranty of any kind, express or implied, for such service updates and/or messages, but you hereby agree to receive such service updates and/or messages and hold PayMaya free from any liability and/or claims for indemnification or damages that may arise therefrom. 6.
